Large deals
We advise on a wide range of types and values of commercial transaction. Some involve large sums of money; some others are complex but concern potential value rather than immediate financial reward, eg licensing early stage technology or forming spin-out companies.
Below are some examples of transactions where Anderson & Company has been actively involved in negotiations, and where the price to be paid (excluding uncertain payments such as royalties) was above one million pounds, and in some cases above ten million pounds.
- Pharmaceutical licensing. Grant of exclusive patent and know-how licences in respect of pharmaceutical drugs. Typically, these larger-value licence agreements have been for (a) the North American territory, (b) European territory, or (c) Asian territory (Japan, China, etc), respectively, and have been for drugs in Phase II or III trials. In several of these cases our clients have been biotech companies listed on Stock Exchanges in the UK, Germany, US, Canada and/or Japan.
- Software licensing. Agreements for the supply of software, hardware and services to multi-national companies and to Government bodies across the World
- R&D collaborations. International research collaboration agreements, funded by commercial companies, charities and Government agencies
- Corporate transactions. Sale of UK technology-based companies to overseas purchasers
- Finance transactions. Venture capital investments in technology start-up companies
- Royalty streams. Sale by a university of a patent royalty stream to a US-based financial institution for a lump sum
- Termination agreements. Settlement of a dispute over the early termination of a patent and know-how licence agreement between a university spin-out company and a German multi-national company
- Government contracts. Bidding on a long-term contract to run post-graduate educational programmes for the Ministry of Defence
